Legal basis and prior amendments
- The circular is issued to comply with Executive Order No. 197 (January 13, 2000), which directs national government offices to increase their rates of fees and charges by not less than twenty percent (20%) to cover the full cost of services rendered.
- The circular amends Memorandum Circular No. 92-004 (Series of 1992).
- The circular further amends Memorandum Circular No. 92-006 as it amended Memorandum Circular No. 92-004.
Scope of covered transactions
- The circular prescribes fees for registration of cooperatives, covering Laboratory Cooperatives, Primary Cooperatives, Secondary Cooperatives, and Tertiary Cooperatives.
- The circular prescribes fees for amendments to Articles of Cooperation and By-Laws, covering specific provisions, substitution, and changes in capital structure.
- The circular prescribes docket fees for merger and consolidation, division, dissolution, liquidation, and related certifications and document copies.
- The circular prescribes fees for listings of cooperative-related documents and forms, including materials in diskette and the registration form.
Registration fees by cooperative type
- Laboratory Cooperatives pay No Fee for registration.
- Primary Cooperatives pay:
- P2,000.00 - P500,000.00: P500.00
- P500,001.00 - up: 1/10 of 1% of the paid-up share capital
- Secondary Cooperatives pay:
- P2,000.00 - 500,000.00: P1,000.00
- Tertiary Cooperatives pay P3,000.00 for registration.
Fees for amendments to governing documents
- Fees for amendments to Articles of Cooperation and By-Laws are charged as follows:
- On specific provisions: P300.00
- By substitution: P300.00
- On capital structure: 1/10 of 1% of the increase in paid-up share capital
Docket fees and documentation charges
- Docket fees for cooperative transactions are charged as follows:
- Merger and Consolidation: P400.00
- Division: P1,000.00
- Dissolution: P1,000.00
- Liquidation: P1,000.00
- The circular provides the following certification and copy fees:
- Certification Fee: P100.00
- Certified True Copy of Documents: P10.00/page
- Certified Xerox Copy of Documents: P5.00/page
- Transcript of Stenographic Notes: P6.00/page
Other listing and form fees
- Listings of OC cooperatives, proforma Articles of Cooperation, By-Laws and Economic Survey (in diskette) cost P50.00/diskette.
- The circular applies the diskette listing fee except for other government agencies.
Registration form fee
- The circular sets the fee for the Registration Form at P250.00.
