Reorganization and Ownership Transfer of Clark International Airport Corporation (CIAC)
- CIAC is restructured from an attached agency of the Department of Transportation (DOTr) into a subsidiary of the Bases Conversion and Development Authority (BCDA).
- Ownership of CIAC shares held by the Republic of the Philippines and nominee stockholders must be transferred to BCDA.
- DOTr must facilitate the transfer but delays cannot impede BCDA’s immediate exercise of ownership rights.
- CIAC and BCDA management are tasked to comply with pertinent laws and Securities and Exchange Commission regulations to effectuate this transfer.
- Other government agencies are required to assist CIAC in developing the Clark Civil Aviation Complex (CCAC).
Mandate and Business Scope of CIAC
- CIAC’s operations are limited to civil aviation, aviation-related services, and aviation-related logistics within CCAC and Clark Industrial Estate 5.
- Any business activities beyond these require prior approval from both DOTr and BCDA.
Authority and Supervisory Role of DOTr
- DOTr retains policy supervision and full regulatory and operational control over Clark International Airport.
Governance Structure of CIAC
- CIAC is governed by a Board of Directors composed as follows:
- Chairperson: Secretary of Transportation (or representative)
- Vice-Chairpersons: Secretary of Tourism and President of BCDA (or their representatives)
- President and CEO of CIAC (or representative)
- Director General of the Civil Aviation Authority of the Philippines (CAAP) (or representative)
- Six additional members appointed by the President of the Philippines after consultation with the Secretary of Transportation and BCDA President, complying with the GOCC Governance Act of 2011.
Authority of Clark Development Corporation (CDC)
- CDC continues its role as the BCDA’s implementing arm for managing the Clark Freeport Zone (CFZ) and Clark Special Economic Zone (CSEZ), pursuant to applicable Republic Acts.
Recognition of Pre-existing Agreements
- Contracts, leases, and business arrangements previously entered by CDC within CCAC remain recognized and valid, subject to laws and relevant implementing rules.
Rulemaking and Implementation
- BCDA, CDC, and CIAC, in consultation with DOTr, must issue implementing rules and regulations within 30 days of the order’s effectivity to enforce its provisions.
Repealing Conflicting Orders
- Previous orders, proclamations, rules, or regulations inconsistent with this Executive Order are repealed or modified accordingly.
Separability Clause
- Declared invalidity or unconstitutionality of any provision does not affect the validity of the remaining provisions.
Immediate Effectivity
- The Executive Order takes effect immediately upon publication in a newspaper of general circulation.
