Corporate Powers of the Center

Center's Domicile
- Principal office located in Metro Manila, Philippines.
- Authority to open branches or offices domestically or internationally as required.
Governance: Board of Trustees
- Composed of 11 members from key government agencies including National Science and Development Board, Human Settlements Commission, and various secretaries.
- Members serve without compensation but may be reimbursed for actual expenses.
Board's Responsibilities
- Formulate rules and regulations for efficient operation.
- Allocate funds to specific fields without interfering with study methodologies or conclusions.
- Constitute the Executive Committee.
- Recommend appointment of Director-General and other officers.
- Periodically review the Center’s programs and administration.
Executive Committee
- Consists of Director-General and four board-elected members.
- Members serve two-year terms, eligible for reelection.
- Board elects its Chairman from among the Committee members.
Executive Committee Functions
- Administer Center’s affairs per delegation from Board of Trustees.
- Possess all Board powers except filling Board vacancies or amending rules.
Director-General of the Center
- Chief executive officer appointed by the President on Board recommendation.
- Responsibilities include policy submission, program administration, operations supervision, annual reporting, and executing additional duties assigned by the Board and Executive Committee.
Founding Institutions and Funding
- Founding institutions: National Science and Development Board, Metro Manila Commission, and Human Settlements Commission.
- Each founding institution authorized to contribute PHP 5 million in 1977.
- Initial PHP 5 million appropriation from the National Treasury.
- Future funding included in Annual General Appropriations.
Expenditure and Procurement
- Center’s expenditures are exempt from government procurement laws and restrictions applicable to other agencies.
Staffing
- Authorized to appoint and maintain technical and administrative staff.
- Professional and technical personnel exempt from compensation and position classification rules.
Tax Exemptions
- Donations to Center exempt from taxes and deductible from donor income.
- Center’s assets, income, operations exempt from taxes, fees, charges, except import taxes and duties.
Asset Disposition Upon Dissolution
- Remaining assets after liabilities to be transferred to related foundations, institutions, or the government.
Separability Clause
- Invalidity of any provision does not affect the remainder of the decree.
Effectivity
- The decree takes immediate effect upon issuance.
