Terms and Eligibility
- Each member has a term of four years.
- Members who serve two consecutive full terms (totaling eight years) are ineligible for reappointment for two years following their service.
- Initial members are divided by lot into two groups with staggered terms (two years and four years) to maintain a biennial election cycle.
Filling of Vacancies
- Vacancies arising from death or resignation are filled by election at the next Board meeting.
- Vacancies among Presidential appointees are filled directly by the President.
Officers and Their Election
- The President of the Philippines serves as the Honorary President of the Philippine National Red Cross.
- Officers include Chairman, Vice-Chairman, Secretary, Treasurer, Assistant Treasurer, and Counsellor.
- Officers are elected from among Board members for a two-year term and may be re-elected.
- Officer elections occur within sixty days after all Board members have qualified.
Biennial Meeting of Chapter Delegates
- Held on dates and places specified by the Board of Governors.
- Purposes:
- Elect Board members.
- Advise the Board on the corporation's activities.
- The Board may omit the meeting during periods of great emergency if deemed in the corporation's best interest.
Powers and Duties of the Board of Governors
- Authority to ordain, adopt, and amend by-laws and regulations.
- Members and officers serve without compensation.
- The Board determines compensation for paid staff, based on the Manager's recommendation.
Effectivity
- The Act took effect immediately upon approval on June 11, 1953.
